Code of Conduct

Introduction

Nordcad Systems A/S is a company built on mutual respect, collaboration, and professionalism. As an organization dedicated to fostering an inclusive and supportive environment, we have developed this Code of Conduct to ensure that everyone who engages with Nordcad, whether as an employee, customer, partner, or community member, understands and upholds our shared values.

We believe that diversity and inclusion are essential to driving innovation and achieving excellence. We embrace individuals from all backgrounds, cultures, and perspectives, and we strive to create a safe space where everyone feels valued, respected, and heard. Our Code of Conduct is designed to provide guidelines for behavior that promote our High-Performance Culture values of integrity, innovation, agility, and quality.

This Code of Conduct applies to all interactions within the Nordcad community, including in-person meetings, online forums, social events, and any other platform where Nordcad's name is associated. By engaging with Nordcad, you commit to following this Code of Conduct, and we expect each member of our community to hold themselves accountable to these standards.

Addressing Concerns or Inquiries / Reporting Possible Misconduct

You must report possible misconduct promptly, including illegal activities, unethical business practices, violations of this Code or Nordcad’s other policies and any concerns about corporate governance, accounting, internal accounting controls or audit matters. Failure to report misconduct is a violation of this Code. If you have concerns or questions about this Code or the course of action to take in any situation, contact your supervisor or your Human Resources partner.

If you submit a concern anonymously, please ensure that you provide sufficiently detailed information to enable the concern to be properly investigated (including, for example, details relating to the facts underlying the concern and the person(s) involved).

No-retaliation policy

We are committed to treating all reports with strict confidentiality to the extent allowed by law.

Nordcad guarantees that no negative consequences or retaliation will arise for a party who reports potential misconduct in good faith or participates in related investigations.

Retaliation not only violates our Code of Conduct but may also contravene legal regulations. Any incidents of retaliation should be promptly reported to the Human Resources department.

At Nordcad, we strive to cultivate a positive and inclusive work environment that promotes collaboration, productivity, and employee well-being. We value open communication, mutual respect, and teamwork, recognizing that a supportive work atmosphere is vital for individual and collective success.

Our principles:

  • Respectful Interactions: We expect all employees to treat one another with respect, courtesy, and professionalism. Discrimination, harassment, bullying, or any other form of disrespectful behavior will not be tolerated.

  • Confidentiality and Privacy: We respect the privacy and confidentiality of our employees and expect the same from everyone. Confidential and sensitive information shared within the workplace should be handled responsibly and only disclosed on a need-to-know basis.

Work environment

A work environment characterized by tolerance and fair conditions supports Nordcad’s reputation as an industry-leading pioneer. Our standards are based on our values as well as the UN Universal Declaration of Human Rights, ILO conventions, and the UN Guiding Principles on Business and Human Rights.

Our principles:

  • We recognize human rights on a global level.
  • We are careful not to cause negative impacts on human rights and always address any such impacts if they occur.
  • We do not accept any form of child labor or forced labor in our workplaces or supply chain, including practices such as illegal or improper wage withholding. Child labor is considered when a person is under 15 years old or under a higher minimum age as per local laws.
  • We do not accept any practices that restrict the freedom of movement of employees. Such practices may involve requiring employees to present identity documents, passports, or work permits as a condition of employment.
  • We acknowledge that there are special needs for employees under 18 years old, and we have an obligation to take special care of them.
  • We only allow working hours, wages, and benefits that comply with national and local laws and relevant ILO conventions.
  • We recognize and respect the right to engage in collective bargaining and our employees' freedom of assembly and the right to collective bargaining were permitted by law.
  • We work to foster good relationships with labor organizations, trade unions, and employee representatives.
  • We engage in dialogue with our employees to ensure that their rights are respected.

Safety for Personal Data (Data Protection)

Nordcad prioritizes the protection of personal data and is committed to maintaining the highest standards of data privacy and security. We recognize the importance of safeguarding the information entrusted to us by our employees, customers, partners, and other stakeholders.

Our principles:

  • Data Confidentiality: We treat all personal data as confidential and limit access to authorized individuals who require it for legitimate business purposes. We implement strict controls and procedures to prevent unauthorized disclosure or access to personal information.
  • Lawful Processing: We collect, use, and store personal data in compliance with applicable data protection laws and regulations. We ensure that we have a legal basis for processing personal information and obtain necessary consents when required.
  • Data Minimization: We only collect and retain personal data that is necessary for the purposes stated and specified in our privacy policies. We do not store personal data for longer than necessary and regularly review our data retention practices.
  • Data Accuracy: We strive to maintain accurate and up-to-date personal data in our systems. We encourage individuals to promptly inform us of any changes or inaccuracies in their personal information.
  • Data Security: We implement robust technical and organizational measures to protect personal data against unauthorized access, loss, alteration, or disclosure. We conduct regular security assessments and take appropriate measures to address any identified risks or vulnerabilities.
  • Data Transfers: When transferring personal data across borders, we ensure compliance with applicable data protection laws and regulations. We implement appropriate safeguards, such as standard contractual clauses or other lawful mechanisms, to protect personal data during international transfers.
  • Individual Rights: We respect the rights of individuals regarding their personal data, including the right to access, rectify, restrict processing, and erase personal information, as permitted by law. We provide mechanisms for individuals to exercise their rights and handle requests promptly and transparently.

By following these principles, we strive to create a culture of trust and transparency regarding data protection at Nordcad. We regularly review and update our data protection policies and practices to adapt to evolving legal requirements, GDPR, and industry best practices.

Reporting and Storage of documents

Nordcad provides accurate and comprehensive documentation and reporting of business-related information, which means that our documents and financial statements must always reflect a true and fair view of the business's condition.

Our principles:

  • Transparency: It is our belief that accurate documentation is crucial for conducting business with integrity and transparency.
  • Accuracy: We document the complete and precise details of all our financial transactions in accordance with locally recognized accounting principles. Additionally, all group reporting is done in accordance with International Financial Reporting Standards (IFRS) and relevant policies and regulations of Nordcad.
    • Furthermore, we maintain accurate non-financial documents, including those related to quality, safety, health, environment, HR, payroll, and training.

Company Assets

Nordcad's assets consist of both tangible and intangible elements. Examples of tangible assets include raw materials, cash amounts, products, computers, real estate, machinery, and equipment. Examples of intangible assets include our brand, patents, trademarks, know-how, trade secrets, and copyrights.

Our principles:

  • We utilize our assets responsibly.
  • We protect Skanska's assets from damage, theft, loss, and misuse as they are vital to our business.
  • We do not use our computers and electronic communication systems for inappropriate messages. This includes engaging in any form of illegal activity or behavior that may be considered discriminatory, offensive, or harassing.
  • We safeguard our customers' and other stakeholders' assets from damage, theft, loss, and misuse when they are entrusted to our care.

Confidentiality

We protect our ideas, processes, and business information because they are crucial for our competitiveness and maintaining the trust of our stakeholders. Therefore, certain types of information are considered the company's protected property and are treated as confidential.

Confidential information includes trade secrets, know-how, and patent-protected information. Other examples of confidential information include business plans, financial documents, customer information, detailed project information for bids or ongoing work, pricing information, personal records, claims and investigations of reported misconduct, financial and accounting data, as well as business relationships and methods.

Our principles:

  • We respect confidential information from Nordcad and our stakeholders.
  • For new employees, we do not request confidential information about their previous employers.

We take all reasonable measures to prevent the unauthorized disclosure of confidential information to individuals who do not require or have the right to access such information in the performance of their duties.

Our commitment to the market:

Stakeholder relationships

How the market perceives us depends on how we conduct our daily business with stakeholders. When we act fairly, transparently, and in alignment with Nordcad's values, we exemplify the company we aspire to be. It is our collective responsibility to contribute to achieving this goal.

Our stakeholders include employees, customers, shareholders, external parties we engage with, and the local communities in which we operate.

Our principles – in general:

  • We actively engage in positive, constructive, and long-term relationships with organizations that share our values.
  • We believe that stakeholders conducting business with Nordcad should expect to receive the same treatment and ethical conduct from us as we expect from them.
  • We do not compromise our values when it comes to any of our stakeholders.

Our principles – customers:

  • We aim to anticipate our customers' needs and exceed their expectations by being innovative and proactive.
  • We aim to drive their progress because we understand their business.
  • We aim to solve their problems, both simple and complex.

Quality Commitment

At Nordcad, we take pride in our quality and innovation, recognizing that delivering high quality is beneficial for both our customers and us.

Our principles:

  • We strive to deliver quality work in all our activities, with a focus on continuous improvement.
  • We collaborate with our stakeholders to deliver products and services that meet or exceed their expectations.
  • We acknowledge and aim to address any deficiencies in our work, in accordance with our contractual obligations.

Conflicts of Interest

Conflicts of interest arise when there is a conflict between our personal interests and our responsibilities as employees or representatives of Nordcad. The contours of a potential conflict of interest can be as harmful as an actual conflict.

Conflicts of interest can be based on invitations and representation, gifts, charitable contributions, political contributions, sponsorships, close relationships, and other forms of engagement with entities that compete with Nordcad or do business with Nordcad.

Our principles:

  • We have a responsibility towards our stakeholders to make decisions that do not result in personal gain.
  • We disclose potential conflicts of interest in accordance with the relevant policies that apply to Nordcad, as well as the contractual obligations that we are bound by.

Invitation and Gifting Policy

About invitations, companies offer invitations to their customers and business partners with the aim of enhancing their business relationships. These invitations can include representation, meals, sports events, and travel.

About gifting, a gift is an item given voluntarily without expecting anything in return. When gifts are given in the right manner, they do not leave an impression of unduly influencing business decisions. However, when invitations and gifts are offered in an inappropriate manner, it can create a conflict of interest or give the appearance of bribery.

Our principles:

  • We do not request, accept, or offer invitations or gifts that can influence, or give the impression of influencing, our business decisions, or the decisions of those we work with. Whether invitations and gifts are given or received, they must be done in an appropriate and proper manner, and they must:
    • Comply with local laws and customs.
    • Not place the recipient in a situation where they feel obligated or beholden to the giver.
    • Serve a legitimate business purpose.
    • Not contain immoral content or harm the dignity of others.
    • Be in accordance with the recipient's employer's policy.
  • Invitations: Should have a modest value.
  • Gifts: Should have a symbolic value, such as pens, notebooks, or company merchandise of low value (refer to Nordcad's invitation and gift policy for specific monetary limits). Please note that promotional items are considered gifts.

Fraud

We define fraud as when a person intentionally tries to deceive another person, acts dishonestly, abuses their position to gain a material advantage, or implicates another person in such actions. Fraud typically occurs when a person wrongfully attempts to obtain money, property, or services. It is an activity that carries legal consequences in most countries.

An example of fraud is false claims, which involve intentionally misleading information or inaccurate recording of costs for materials or services, deliberate concealment of defects, or document forgery.

Our principles:

  • We always act with honesty, fairness, and credibility.
  • Prevention: We prioritize fraud prevention through the implementation of internal controls, policies, and procedures.
  • Detection: We maintain systems and processes to detect potential instances of fraud. This involves monitoring financial transactions, conducting periodic reviews and audits, and implementing whistleblowing mechanisms to encourage reporting of suspicious activities.
  • Investigation: If fraud is suspected or reported, we promptly initiate an investigation. Our dedicated team or external experts conduct thorough and impartial investigations to gather evidence, identify the perpetrators, and determine the extent of the fraudulent activities.
  • Resolution: Once the investigation is complete, appropriate actions are taken based on the findings. This may include disciplinary measures, legal actions, restitution of losses, and improvement of control measures to prevent future occurrences.
  • Reporting: We are committed to maintaining transparency and integrity. Therefore, we report instances of fraud, as necessary, to relevant authorities and stakeholders in compliance with legal and regulatory requirements.

Sponsorship

A sponsorship is a transaction that occurs in anticipation of a business benefit, where Nordcad makes a payment, either in cash or in kind, to associate our brand with a specific activity or organization. In return for the cost of the sponsorship, Nordcad receives rights and benefits, such as the right to use the name of the sponsored organization, advertising advantages, access to facilities, or opportunities to promote Nordcad's name, products, or services.

Our principles:

  • We select sponsorship activities that focus on providing opportunities for our business and our values. A sponsorship activity should have a direct connection to the business, our areas of operation (such as software, electronic development, etc.), our sustainability agenda, or other business-related topics such as PR, HR, etc. In some cases, we choose sponsorship activities that are related to completed projects constructed by Nordcad.
  • We never engage in sponsorships that can have or give the impression of having an inappropriate influence on anyone.
  • We avoid creating an inappropriate impression that sponsorships can provide business opportunities.

When we talk about the environment, we consider the impact of our activities and processes, as well as the long-term environmental performance of the products and services Nordcad creates.

Our principles:

  • We are committed to protecting the environment, and we believe that we can make a significant contribution to a more sustainable world.
  • We actively work to improve the environmental performance of our activities, projects, products, and services throughout their entire life cycle.
